Wholesale Agreement - Terms & Conditions
By placing an order on the Mini Hippo Wholesale page you agree to the Mini Hippo Pty Ltd (MH) Terms and Conditions before stock will be supplied. We reserve the right to accept or decline stores according to the ACCC guidelines for wholesale distribution. Selection is dependent on the location of your retail outlet(s) in respect to others located in your vicinity with the aim of maximising your sales.
All stockists are subject to an annual review.
1.0 Payment
The goods shall remain the property of MH until full payment has been received. Where the goods are on-sold in the course of your business, proceeds of the sale remain the property of MH for the payment of outstanding moneys owed by you.
Payment methods are Credit Card, PayPal or Bank Transfer. Overdue accounts will attract monthly interest at a rate outlined in the Rates & Fees section below.
2.0 Pricing
All prices quoted are in Australian dollar (AUD) and ex-GST. Pricing does not include freight charges (refer to Postage, Packaging and Handling section for further details).
3.0 Orders
Please refer to the online Wholesale Store for each product range. Orders are strictly pro forma.
In your account please ensure your business details are correct and select, via the store, the quantity of each item you desire. The store will calculate the total amount and associated GST. Shipping is calculated dependent on location (refer to Postage, Packaging and Handling section for further details).
4.0 Minimum Orders
The minimum order quantity (MOQ) varies for each product line. Please see individual SKUs in the store for MOQ requirements.
5.0 Additions and Alterations to Order
We are unable to make additions or deletions to orders once payment has been finalised. If we are unable to fulfill any part of your order, MH will notify you.
6.0 Deposit
For orders where stock is not immediately available to ship, a deposit, as outlined in the Rates & Fees section below, may be required. This will ensure stock is allocated to your order once it arrives from our suppliers. The remaining order value will be due on regular pro forma terms (i.e. prior to shipping). You will be notified of the expected shipping date.
We do not allow pre-sale of stock unless it is paid in full and you have written approval from MH to do so.
Failure to complete your order and pay the remaining order value will result in a cancellation fee as outlined in the Rates & Fees section below. The remainder of your deposit will either be refunded or credited to your next order.
MH may cancel any order at any time, without any liability, if:
- MH does not receive the outstanding payment within seven days of you being invoiced
- Items in your order are no longer available due to circumstances beyond our control
- MH is no longer engaged in trade
7.0 Order Discrepancies
If you find discrepancies in any received order please notify MH within five days of delivery.
8.0 Postage, Packaging and Handling
Delivery is to Australia and New Zealand only. We will not accept from or ship orders to delivery addresses outside Australia or New Zealand. Delivery to a PO Box is also not accepted. Postage, Packaging and Handling is charged at a percentage of the order value based on location. We endeavour to reuse packaging material wherever possible to help the environment and reduce costs.
Shipping occurs Monday to Friday from our warehouse. Our warehouse has a 72 hour turn around time from the receipt of payment. Please consider this when placing an order and paying the associated invoice. To expedite the process of payment reconciliation please send MH a copy of your payment remittance advice via email to info@minihippoimports.com.au.
Collection of orders from our warehouse may be approved on a case by case basis. Collection is only able to be preformed by a courier due to OH&S requirements in our 3PL. By selecting collection you indemnify Mini Hippo Pty Ltd from any loss or damage that may occur while the stock is in transit. When selecting collection please await contact from us regarding the carton dimensions and weights, warehouse address and collection availability times.
9.0 Drop Shipping
At this time MH does not offer drop shipping.
10.0 Returns Policy
Should your customer claim a faulty or damaged product, please complete the returns form located in the Support section detailing your specific problem and we’ll get back to you promptly. Images are mandatory for all potential customer faults. Please request your customers provide these when making a fault claim.
On receipt of the customer return form we will review the request and respond to you with details of our assessment. We may provide information for you to pass onto your customer, such as product use guidelines, and sometimes we may send replacement parts directly to your customer. If it is considered a major fault you will need to replace or refund your customer directly. MH will apply a credit note to your account for the value of the faulty item.
Please do not replace or refund your customer until you have contacted MH and we have assessed the faulty claim.
11.0 Warranty
We guarantee our products against manufacturing defects, such as issues with any parts or material defects, for twelve months after purchase (note the interior lining of the SoYoung insulated bags comes with a six month warranty). Proof of purchase is required. We do not guarantee our products for issues related to wear and tear including rips, spills, scratches, chips, mould, fading, stains and odour. Please keep in mind that although our products are designed for children, they are not indestructible.
For a warranty claim please refer to the Returns Policy section. In the event of a product recall, we will contact you with further details.
12.0 Variation to Outlets
Your wholesale account is approved for the retail outlets listed in your original application. MH must be notified of new retail outlets, changes of location or market avenues used by your business prior to the commencement of new sales. Approval for new outlets may or may not occur and will be assessed on location and other retailers within your operating vicinity.
MH does not allow its products to be sold via online third party or auction sites including but not limited to Amazon, E-Bay, TradeMe, Catch of the Day, The Iconic, Mighty Ape, TheMarket NZ, Westfield Direct or discount third party sites, markets, via Facebook, WeChat and other social media or the un-authorised wholesale re-distribution of it’s products to un-authorised retailers.
Failure to comply with this will result in cancellation of your account and future orders will not be accepted.
13.0 Bulk Orders
MH works hard to ensure the brands we represent and their associated products are marketed in a way that promotes their product features and inherent quality. Retailers are vetted to ensure their store aligns with MH’s core values and the brands we represent. As such MH does not allow its retailers to offer or on-sell any products supplied by MH as a bulk purchase. This includes large volume orders to end retailer customers, co-op’s or bulk-discounted sales including social media groups that drive sales based on the cheapest price. A bulk order is defined as a quantity greater than 30 units of single or combined SKUs.
Any requested bulk orders can be referred to MH at info@minihippoimports.com.au so we can ensure the brands and their associated products are being supplied in a way that represents them positively.
Failure to comply with this will result in cancellation of your account and future orders will not be accepted.
14.0 Rates & Fees
These figures refer to sections in the MH Wholesale Agreement Terms and Conditions.

15.0 Product Images
Product images and descriptions for retailer’s use are provided via Dropbox links once you have completed an order. Please note that images and text found on www.minihippo.com.au are copyright to MH and are not for retailer use.
16.0 Advertising
The following cannot be used by Retailers in direct advertising content of the products as these are MH used terms and hence causes confusion to the market. They can only be used if the advertising or content links or refers back to MH.

Failure to comply with the above request will result in cancellation of this wholesale agreement to supply and no future orders will be accepted.
17.0 Our Content
Except as permitted by the copyright law applicable to you, you may not reproduce or communicate any of the content on this website, including files downloadable from this website, without the permission of Mini Hippo Pty Ltd, the copyright owner.
18.0 Amendments
You will be notified of any additions, modifications or changes to the content and application of this agreement in writing.
By placing an order with MH you agree to these Terms and Conditions. Failure to comply with these terms may result in loss of ability to purchase from MH.
We may change these Terms and Conditions from time to time. Please check before re-using any content from this website.
